| Biography:
Thomas Dollinger, a Corporate Partner since 1986, practices in Proskauer Rose LLP's Los Angeles office.
Tom began his career in 1978 with the New York office where he practiced corporate and securities law. When the Firm's practice required an experienced business lawyer in Los Angeles, Tom was asked in 1984 to relocate. Tom's experience as a business lawyer is diverse, reflecting the broad scope of the Firm's corporate practice.
Tom is a member of the Firm's Private Equity Group, and has extensive experience in the private equity arena representing private equity and venture capital funds as well as issuers. He has represented institutional investors, such as JP Morgan, in investment transactions in a variety of industrial sectors, including Internet and related technology sectors, telecommunications and health care and medical devices.
Tom has broad experience in the acquisition and sale of businesses. He has been responsible for structuring and completing a number of acquisitions and divestitures. These transactions have taken place in diverse industries, including manufacturing, investment management, oil refining and banking, and have involved both healthy and financially troubled companies. Representative transactions have included:
- Representing Jenny Craig, Inc., the commercial weight loss company in connection with the acquisition by ACI Capital in a going-private transaction,
- Representing Probitas Pharma, S.A., a Spanish biopharmaceutical company, in its acquisition of Alpha Therapeutic Corporation, a company engaged in the production and sale of products derived from blood plasma, and
- Representing Transtar Metals, a distributor of metals, in its acquisition by a private equity fund.
