Representative matters

  • Ardian, an independent private equity investment company, in advice on the company’s fund of funds. In the past six months alone, we have advised Ardian on more than 30 transactions, amounting to more than $5 billion.
  • Ares Management LLC, a global diversified asset manager with over $94 billion in assets under management. Over the past 12 months, our team has advised on the tax structuring of more than 10 funds and separate accounts for Ares, representing over $12 billion. We also advise Ares on public company, regulatory, compliance and acquisition-related matters, including joint ventures.
  • Ascena Retail Group, Inc. in its $2 billion acquisition of Ann Inc.
  • Celgene Corporation in its $7.2 billion acquisition of Receptos, Inc.
  • Citigroup Global Markets, J.P. Morgan Securities and Bank of America Merrill Lynch in PulteGroup, Inc.’s registered high-yield offering of $1 billion of senior notes.

Representing RIP Medical Debt – the charity behind the $15 million medical debt forgiveness on the HBO program Last Week Tonight with John Oliver. RIP Medical Debt allowed the debtors to avoid paying tax on their debt forgiveness.

Collaborating with The Innocence Project and After Innocence, two leading organizations for exonerated prisoners, to petition the IRS for prompt guidance on new section 139F of the Internal Revenue Code, which exempts wrongfully incarcerated individuals from tax on settlement income.
